Agreement to Terms

The Service

What Manager.how Is

Manager.how is an AI-powered learning platform that teaches management and leadership skills through structured programmes and AI-coached conversations.

What It Isn't

• Not a substitute for professional coaching, therapy, or medical advice
• Not a guarantee of specific outcomes or results
• Not HR advice or legal counsel
• Not employment advice

The AI coach provides educational guidance based on established management frameworks and research. It's a learning tool, not a professional service.

Eligibility

Age Requirement

You must be at least 18 years old to use Manager.how.

Capacity

You represent that you have the legal capacity to enter into this agreement.

Business Use

If you're using the Service on behalf of a company, you represent that you have authority to bind that company to these terms.

Account Registration

Creating an Account

To use Manager.how, you must:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access

Account Security

You're responsible for all activity under your account. Don't share your login credentials.

Account Termination by You

You can delete your account at any time through the app settings. Upon deletion:

• Your subscription is cancelled (no refund for unused time)
• All your data is deleted (see Privacy Policy for details)
• You lose access to all content and progress

Account Termination by Us

We may suspend or terminate your account if you:

• Violate these terms
• Use the Service for illegal purposes
• Abuse the Service or our support team
• Attempt to reverse-engineer or scrape the Service
• Engage in fraudulent activity

We'll notify you by email before termination unless it's for fraudulent or illegal activity.

Subscription and Payment

Subscription Plans

Manager.how offers monthly subscription plans billed in advance:

• 3-month plan: $168 ($56/month)
• 6-month plan: $288 ($48/month)
• 12-month plan: $480 ($40/month)

Prices may change with 30 days notice to existing subscribers.

Billing

• Subscriptions are billed upfront for the full period
• Payment is processed by Stripe
• You'll receive a receipt by email
• Subscription auto-renews unless cancelled

Auto-Renewal

Your subscription automatically renews at the end of each period at the then-current price. You'll be notified by email 7 days before renewal.

Cancellation

You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds for unused time.

Refund Policy

• Within 7 days of initial purchase: Full refund, no questions asked
• After 7 days: No refunds for unused time
• Annual plans: Pro-rated refund only if we terminate the Service

To request a refund, email support@manager.how with your order number.

Free Trials

We may offer free trial periods. If not cancelled before the trial ends, you'll be charged for the subscription. Cancel anytime during the trial for no charge.

Payment Failures

If payment fails:

• We'll notify you by email
• We'll retry payment up to 3 times
• If payment continues to fail, your subscription will be cancelled and access suspended

Update your payment method in account settings to restore access.

Taxes

Prices don't include VAT or other taxes. You're responsible for any taxes on your purchase.

Use of the Service

License

We grant you a limited, non-exclusive, non-transferable licence to access and use Manager.how for your personal or internal business use.

Acceptable Use

You may:

• Use the Service to learn management skills
• Have conversations with the AI coach
• Save and review your progress
• Use generated content for your own purposes

Prohibited Use

You may not:

• Share your account with others
• Reverse-engineer, decompile, or disassemble the Service
• Scrape, copy, or download content systematically
• Use the Service for illegal purposes
• Attempt to bypass security measures
• Use the Service to train your own AI models
• Resell or redistribute our content
• Impersonate others or provide false information
• Upload malicious code or attempt to hack the Service

Violation may result in immediate account termination.

Intellectual Property

Our Content

All content on Manager.how—including text, graphics, logos, software, course materials, and AI-generated content—is owned by Nicholas Lawrence or our licensors and protected by copyright, trademark, and other laws.

Your Content

You retain ownership of content you create through the Service (your conversation inputs, notes, etc.). By using the Service, you grant us a licence to store and process this content to provide the Service.

AI-Generated Content

Responses generated by the AI coach are provided for your learning. You may use them for your personal or business purposes. We don't claim ownership of AI outputs, but we don't guarantee their accuracy or suitability for any purpose.

Feedback

If you provide feedback, suggestions, or ideas about the Service, we can use them without obligation to you.

AI and Content Disclaimers

AI Limitations

The AI coach:

• Provides educational guidance, not professional advice
• May occasionally generate inaccurate or inappropriate responses
• Is based on training data that may be outdated or biased
• Should not be relied upon for critical decisions without verification

No Professional Relationship

Using Manager.how doesn't create a professional coaching, consulting, or advisory relationship. The AI coach is a learning tool, not a substitute for qualified professionals.

Educational Purpose

Content is for educational and informational purposes only. It's not:

• Legal advice
• HR guidance
• Medical or mental health treatment
• Employment advice
• A guarantee of specific outcomes

Your Responsibility

You're responsible for:

• How you apply what you learn
• Decisions you make based on the content
• Compliance with your company's policies
• Adapting guidance to your specific situation

Data and Privacy

Privacy Policy

Our Privacy Policy explains how we collect, use, and protect your data. By using the Service, you agree to our Privacy Policy.

Conversation Data

• Your conversations with the AI are encrypted and private
• We don't use them to train AI models or for research
• You can delete conversations at any time
• Conversations inactive for 90+ days are automatically deleted

Data Security

We implement reasonable security measures, but no system is 100% secure. You use the Service at your own risk.

Data Breach

If there's a breach affecting your data, we'll notify you by email within 72 hours.

Third-Party Services

Manager.how uses third-party services including:

• Clerk - Authentication
• Stripe - Payment processing
• Anthropic & OpenAI - AI processing
• Vercel - Hosting
• Neon - Database

These services have their own terms and privacy policies. We're not responsible for their actions or omissions.

Disclaimers and Limitations of Liability

"AS IS" Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We don't guarantee that:

• The Service will be uninterrupted or error-free
• Content will be accurate, complete, or current
• Defects will be corrected
• The Service is free of viruses or harmful components

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE'RE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR £100, WHICHEVER IS GREATER.

Exceptions

These limitations don't apply to:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any liability that can't be excluded under UK law

Indemnification

You agree to indemnify and hold harmless Nicholas Lawrence from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these terms
• Your violation of any rights of others
• Content you submit to the Service

Changes to the Service

Modifications

We may:

• Add, modify, or remove features
• Change how the Service works
• Update content and programmes

We'll try to give notice of significant changes but aren't obligated to.

No Guarantee of Availability

We don't guarantee the Service will always be available. We may suspend or discontinue it at any time.

Changes to These Terms

We may update these terms occasionally. When we do:

• We'll update the "Last updated" date
• We'll notify you by email for significant changes
• Continued use after changes constitutes acceptance
• If you don't agree, you must stop using the Service and may be entitled to a pro-rated refund

Termination

By You

Cancel your subscription and delete your account anytime through account settings.

By Us

We may terminate or suspend your access immediately for:

• Terms violations
• Illegal activity
• Fraud or abuse
• Non-payment
• Any reason with 30 days notice

Effect of Termination

Upon termination:

• Your licence to use the Service ends
• You must stop using the Service
• You lose access to all content and data
• Subscription fees aren't refunded (except as stated in Refund Policy)
• Provisions that should survive (indemnification, disclaimers, etc.) continue

Dispute Resolution

Governing Law

These terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Jurisdiction

Any disputes will be resolved in the courts of England and Wales. You consent to personal jurisdiction there.

Informal Resolution

Before filing a legal claim, contact us at support@manager.how to try to resolve the issue informally. We'll try to resolve disputes in good faith.

General

Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and Nicholas Lawrence regarding the Service.

Waiver

Our failure to enforce any provision doesn't waive our right to enforce it later.

Severability

If any provision is found unenforceable, the rest of the terms remain in effect.

Assignment

You can't transfer your rights under these terms. We may transfer our rights to a successor or affiliate.

Force Majeure

We're not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, wars, pandemics, etc.).

Notices

We'll send notices to the email associated with your account. You're deemed to have received them within 24 hours. Send notices to us at support@manager.how.

Language

These terms are in English. Any translations are for convenience only.
